Agreement to Terms
Welcome to Stratigo Collectives. These Terms of Service ("Terms") govern your access to and use of our website, services, and products. By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access our services.

Your Responsibilities
When using our services, you agree to:
Accurate Information
Provide accurate, current, and complete information during the engagement process and maintain the accuracy of such information.
Lawful Use
Use our services only for lawful purposes and in accordance with these Terms and all applicable laws and regulations.
Intellectual Property
Respect all intellectual property rights and not use our services to infringe upon the rights of others.
Confidentiality
Maintain the confidentiality of any proprietary information shared during our engagement.
Timely Communication
Respond promptly to requests for information, feedback, or approvals necessary for project completion.
Payment Obligations
Honor all payment obligations as outlined in project agreements and invoices.
Project Engagement
Project Agreements
Each project engagement will be governed by a separate Statement of Work (SOW) or project agreement that outlines specific deliverables, timelines, and compensation. These Terms apply to all such engagements unless explicitly modified in writing.
Scope Changes
Any changes to the agreed-upon scope of work must be documented in writing and may result in adjustments to timelines and fees. We reserve the right to refuse scope changes that substantially alter the original project agreement.
Project Delays
While we strive to meet all agreed-upon deadlines, project timelines may be extended due to client delays in providing necessary materials, feedback, or approvals. We are not liable for delays caused by circumstances beyond our reasonable control.
Payment Terms
Fees
All fees are quoted in USD and are subject to the terms of individual project agreements.
Payment Schedule
Payment terms will be specified in project agreements and typically include deposits and milestone payments.
Late Payments
Late payments may incur interest charges and may result in suspension of services.
Refunds
Refund policies are outlined in individual project agreements. Work completed is generally non-refundable.
Intellectual Property Rights
Client Ownership
Upon full payment of all fees, clients will own the final deliverables specifically created for their project, excluding pre-existing materials, third-party components, and our proprietary tools, frameworks, and methodologies.
Our Rights
Stratigo Collectives retains all rights to our proprietary methodologies, tools, frameworks, templates, and any pre-existing intellectual property. We also retain the right to showcase completed projects in our portfolio unless otherwise agreed in writing.
Third-Party Components
Projects may include third-party software, libraries, or components subject to their own licenses. Clients are responsible for complying with such licenses.
Warranties and Disclaimers
We provide our services using professional care and skill. However, our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that our services will meet your specific requirements, be uninterrupted, timely, secure, or error-free. Results obtained from the use of our services may vary and are not guaranteed.
Limitation of Liability
To the maximum extent permitted by law, Stratigo Collectives shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- Your use or inability to use our services
- Any conduct or content of any third party related to our services
- Unauthorized access, use, or alteration of your content
- Any other matter related to our services
Our total liability shall not exceed the amount paid by you for the specific services giving rise to the claim during the twelve (12) months preceding the claim.
Termination
Either party may terminate an engagement in accordance with the terms specified in the project agreement. We reserve the right to terminate or suspend access to our services immediately, without prior notice or liability, for any reason, including breach of these Terms.
Effect of Termination
Upon termination, you remain liable for all fees incurred prior to termination. We retain the right to invoice for work completed. Provisions that by their nature should survive termination shall survive, including intellectual property rights, warranty disclaimers, and limitations of liability.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our engagement. This obligation continues after the termination of services.
Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Stratigo Collectives operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.
Changes to Terms
We reserve the right to modify or replace these Terms at any time at our discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after revisions become effective, you agree to be bound by the revised terms.
